Suggestion:
exercise with her. or book into a gym class, dance class or social sporting team. that way it is a structured training which can give you more motivation as you may 'let the team down' if you don't go to tranings etc.
motivation is what gets you started (the hardest part) and the habbit is what keeps you going and going. be sure to give her positive support and constructive critisism without being too harsh. she needs to learn good exercise and eating habbits.
try to get her to eeat lots of small sized or 'mini meals' in a day rather than three big ones.

Go for walks with her. Eat healthy together. Eat all her chocolate.
Invite her to jog with you, try to choose a nice park, some place with a pleasant view
Meet up with her in the morning/whenever it suits you both and take a brisk walk together for at least 20 minutes.
Have either of you got a dog? it's good fun walking the dog with another person.
